Under this Agreement, one party, the Seller, on the one hand, and any person who has accepted the terms of this public offer agreement — the Buyer, on the other hand, hereinafter collectively referred to as the Parties, have entered into this Public Offer Agreement (hereinafter — the Agreement), addressed to an unlimited number of persons and constituting an official public offer of the Seller to conclude a sales contract with Buyers for goods, photographs or information about which are posted in the relevant section of the website https://med24.biz.

By purchasing goods, images or information about which are posted on the relevant pages of https://med24.biz, Buyers accept the terms of this Agreement as set forth below.

General Provisions

1.1. Contractual relations between the Seller and the Buyer are formalized as a public offer agreement. Clicking the “Buy” button on the website https://med24.biz in the relevant section means that the Buyer, regardless of status (individual, legal entity, or sole proprietor), in accordance with current international and Ukrainian legislation, accepts the terms of this public offer agreement set forth below.
1.2. This public offer agreement is public, meaning that under Articles 633 and 641 of the Civil Code of Ukraine, its terms are identical for all Buyers regardless of their status. By fully agreeing with this Agreement, the Buyer accepts the terms and procedures for placing orders, payment, delivery, and responsibility for improper orders or failure to comply with this Agreement.
1.3. This Agreement enters into force from the moment the Buyer clicks the “Buy” button, thereby agreeing to purchase goods available from the Seller, and remains valid until the Buyer receives the goods and completes full payment.
1.4. Ukrainian law shall apply to regulate contractual relations under this Agreement. If an international treaty ratified by the Verkhovna Rada of Ukraine establishes rules different from those of Ukrainian law, such rules shall prevail.

Terms and Definitions
“Public Offer Agreement” — a public contract posted on the website https://med24.biz containing the Seller’s offer to purchase goods displayed or described on the website, addressed to an undefined circle of persons, including Buyers.

“Acceptance” — the Buyer’s acceptance of the Seller’s offer by adding goods to the virtual cart and submitting an order.

“Goods” — items of trade (pharmaceutical products, related goods, or any other items) offered for purchase on the website https://med24.biz.

“Buyer” — any individual, legal entity, or sole proprietor who visits the website https://med24.biz and intends to purchase goods.

“Order” — a properly оформлений and submitted request by the Buyer on the website https://med24.biz for the purchase of goods addressed to the Seller.

Subject of the Agreement

2.1. The Seller undertakes to sell the Goods under the terms of this Agreement based on the Buyer’s Order placed on the website https://med24.biz, and the Buyer undertakes to purchase and pay for the Goods.
2.2. The Seller guarantees that the Goods are not pledged, not subject to dispute, not under arrest, and free from third-party rights.
2.3. Both Parties confirm that this Agreement is not fictitious or sham and was not concluded under pressure or deception.
2.4. The Seller confirms that it has all necessary permits to conduct business activities and to manufacture and/or sell the Goods in accordance with Ukrainian law.

Rights and Obligations of the Seller

3.1. The Seller shall: comply with the terms of this Agreement; fulfill the Buyer’s order upon receipt of payment; deliver the Goods; verify quality and quantity during packaging.
3.2. The Seller has the right to suspend services unilaterally if the Buyer violates the terms of this Agreement.

Rights and Obligations of the Buyer

4.1. The Buyer shall: pay for and receive the order on time; review product information on https://med24.biz; check integrity and completeness upon delivery and document any defects.
4.2. The Buyer has the right to place orders and demand proper fulfillment of this Agreement.

Order Placement Procedure

5.1. The Buyer independently places an order on https://med24.biz by adding items to the cart, or via email or phone указан on the website.

Price and Payment Terms

6.1. The price of each item is set by the Seller and displayed on the website. The total price includes selected goods and delivery cost.
6.2. Order cost may change depending on quantity, price, or assortment.

Delivery Terms

7.1. The Buyer receives the Goods via delivery or self-pickup.
7.2. When using third-party carriers, the Buyer agrees to their shipping rules.
7.3. Receipt of goods without claims is confirmed by the Buyer’s signature upon delivery.
7.4. If the Buyer is absent or refuses delivery without reason, return shipping costs are deducted.

Return Policy

8.1. In accordance with Article 9 of the Law of Ukraine “On Consumer Protection,” the Buyer may exchange defective goods within 14 days, excluding the purchase date, if product defects are proven.

Liability and Dispute Resolution

9.1. The Parties are liable for failure to fulfill obligations under this Agreement.
9.2. Disputes shall be resolved through negotiations; claim review period is 7 days.
9.3. Unresolved disputes shall be settled in court according to jurisdiction.

Force Majeure

10.1. Parties are not liable for failure due to force majeure (natural disasters, war, strikes, etc.).
10.2. The affected Party must notify the other and provide official confirmation within 10 days.
10.3. Obligations are extended for the duration of force majeure.
10.4. If force majeure lasts more than 3 months, either Party may terminate the Agreement.

Other Terms

11.1. By accepting this Agreement, the Buyer consents to the processing of personal data for order fulfillment and marketing purposes.
11.2. The Seller ensures protection of personal data and does not disclose it to third parties except as required.
11.3. The Seller is not responsible for inaccurate information provided by the Buyer.

Public offer agreement
